Top advisory, managed service and software solutions consulting company seeks a Legal Counsel for the company on a temporary basis with the potential to go permanent. In this role, Legal Counsel will be responsible for the planning, direction, and execution of the company's risk management and legal operations. This will involve legal strategy, contract negotiation and management, acquisition-relation activities, corporate governance, and employment issues. Ideal candidate will be Chicago-based and admitted to the Illinois State Bar and have experience negotiating and drafting complex commercial contracts, as well as have working knowledge of basic financial and accounting principles. Send resumes to [email protected].

Key Responsibilities:

Provide legal counsel in the following areas, but not limited to:

Legal strategy

  • Provide timely strategic advice in connection with commercial challenges and opportunities, including designing legal and risk management processes and working with other corporate functions (e.g., finance, HR, marketing, IT, etc.) to implement effective legal solutions

Contract negotiation and management

  • Review, negotiate and approve client and vendor contracts entered into by our client and its related entities; work with company leadership and practice groups to manage contractual risks and obligations

Acquisition-related activities

  • Support the company’s mergers and acquisitions strategy by coordinating legal due diligence, negotiating legal documents, and coordinating with third party legal counsel, as required

Corporate governance

  • Work with firm leadership to inform decisions in connection with corporate structure and other governance- related issues

Employment issues

  • Work with human resources on employment-related issues, such as employment offers, subcontractor agreements and other employee relations issues

Trademarks and other intellectual property

  • Work with firm leadership to identify and execute strategies to protect the company’s proprietary information, processes and ideas

Support our client’s practice group and MTS contract review

  • Clients
  • Vendors
  • Partners
  • Employees and subcontractors

Non-disclosure agreements

  • Coordinate with third party legal counsel on projects

Potential acquisitions, group hires

  • Initial review of incoming legal notice (non-solicit, etc.)


  • Legal needs assessment and long term strategic proposal recommendation (on function/tasks/process and staff/department needed to support)
  • Client engagement letter and SOW tracking: Support and advance SpendConnect pilot effort to track client engagement letters and SOWs
  • Create database of lateral hire restrictive covenants – non-solicit, non-compete, etc.
  • Develop and support employee compliance training program – lead and/or work with other third party resource

Education and Experience Requirements:

  • J.D from an accredited law school required
  • A minimum of 7-10 years of legal practice, including some in-house experience
  • Experience negotiating and drafting complex commercial contracts, including significant responsibility for managing own workload
  • Working knowledge of basic financial and accounting principles
  • Experience in developing and successfully managing budgets and third party counsel
